By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.
1. Overview of The Nautical Mixer
1.1 Nature of the Service.
The Nautical Mixer is a shoreside, online matchmaking and social coordination service for single adults who enjoy cruising. We provide a structured, curated way for members to discover and connect with other like‑minded adults who are traveling on the same or similar itineraries. We are not a cruise line, travel agent, tour operator, lodging provider, or common carrier.
1.2 No Travel Services.
Audax Group and The Nautical Mixer do not sell, arrange, or operate cruises, transportation, or lodging of any kind. You are solely responsible for selecting, purchasing, and managing all travel arrangements directly with cruise lines, airlines, hotels, and any other providers.
1.3 No Affiliation with Cruise Lines.
The Nautical Mixer is independent from all cruise lines and travel suppliers. We are not affiliated with, endorsed by, or sponsored by any cruise line or travel company. Any mention of a cruise brand, vessel, or itinerary is for identification purposes only.
1.4 Discretion and Structure.
Our role is to offer a trusted, discreet structure for introductions and social coordination. You bring your own judgment, preferences, and decisions to every interaction.
2. Eligibility and Registration
2.1 Age Requirement.
The Services are intended solely for adults who are at least 21 years of age. By using the Site or Services, you represent and warrant that you are 21 or older. We reserve the right to request proof of age and to suspend or terminate access if we believe this representation is untrue.
2.2 Single Status and Honest Information.
The Nautical Mixer is designed for single adults. You represent and warrant that any information you provide about your relationship status, age, identity, and preferences is accurate and truthful, and that you will update it promptly if it changes.
2.3 Account Registration.
To access certain features, you may need to create an account and provide registration information. You agree to:
- Provide accurate, current, and complete information;
- Maintain the security and confidentiality of your login credentials; and
- Accept full responsibility for all activities that occur under your account.
We reserve the right to refuse, suspend, or terminate accounts at our discretion.
3. Memberships, Payments, and “Donations”
3.1 Fees and Contributions.
Portions of the Services may be offered for a fee (including subscriptions, packages, or contributions sometimes described as “donations” or “support”). Any such fees or contributions are processed through third‑party payment providers and are payable in advance, unless otherwise stated.
3.2 Shore‑Side Transactions Only.
All financial transactions related to The Nautical Mixer occur off‑ship, through the Site or other authorized channels, and are not conducted on board any vessel.
3.3 No Refunds (Unless Required by Law).
Except where prohibited by applicable law or explicitly stated otherwise in writing, all fees, contributions, and payments are non‑refundable. You are responsible for all charges incurred under your account.
3.4 No Guarantee of Specific Outcomes.
We aim to provide structured opportunities for genuine introductions. However, we do not guarantee that you will meet a specific number of people, establish a romantic relationship, or achieve any particular personal outcome.
4. Use of the Site and Services
4.1 Personal, Non‑Commercial Use.
You may use the Site and Services solely for your personal, non‑commercial purposes. You agree not to use the Site or Services to run, promote, or support any business or commercial enterprise.
4.2 Prohibited Conduct.
You agree that you will not, and will not permit others to:
- Violate any applicable local, state, national, or international law or regulation;
- Use the Site or Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users;
- Harass, abuse, stalk, threaten, or otherwise harm any person;
- Upload, post, or transmit any content that is unlawful, defamatory, obscene, discriminatory, harassing, or otherwise objectionable;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity;
- Attempt to gain unauthorized access to any systems, networks, or data;
- Use automated scripts, bots, or scrapers to access, collect, or manipulate data on the Site or within the Services, except as expressly permitted.
4.3 Third‑Party Tools and Platforms.
We may make use of third‑party platforms and tools (such as email, SMS gateways, and messaging apps like WhatsApp) to deliver parts of the Services. Your use of such platforms is also governed by their respective terms and policies. We are not responsible for the availability, security, or performance of third‑party platforms.
5. Onboard Conduct Policy
When you sail on a cruise, your contract is with the cruise line, not with Audax Group. You are solely responsible for complying with all cruise line ticket contracts, policies, and instructions. To support your safety and discretion, you agree to the following:
5.1 No Onboard Solicitation or Promotion.
You will not use any cruise vessel, or any part of it, to solicit other passengers to join, sign up for, or pay for The Nautical Mixer or any other product or service. This includes, without limitation:
- Distributing flyers, cards, or QR codes;
- Promoting the service to non‑members while onboard; or
- Describing any onboard gathering as an official or commercial “event” of The Nautical Mixer.
5.2 No Representation as an Official Program.
You will not state or imply that The Nautical Mixer is affiliated with, endorsed by, or sponsored by the cruise line, nor that any onboard activity is an official or commercial program of the cruise line.
5.3 No Onboard Employment or Agency.
The Nautical Mixer does not assign hosts, employees, or agents on board any vessel. You will not present yourself as an employee, host, organizer, or representative of The Nautical Mixer while on a cruise. Any coordination among members is informal and voluntary.
5.4 Respect for Ship Rules and Guests.
You agree to:
- Follow all ship rules and the lawful instructions of officers and crew;
- Conduct yourself in a manner that is courteous, discreet, and respectful of other guests; and
- Immediately discontinue or relocate any interaction if requested by ship staff.
5.5 Support and Complaints.
Any questions, concerns, or feedback about The Nautical Mixer should be directed to us at [email protected] or via our support channels. Cruise lines and shipboard staff are not responsible for, and cannot assist with, The Nautical Mixer.
5.6 Cruise Line Actions.
Cruise lines may, under their own contracts and policies, restrict or remove guests whose conduct they deem inappropriate, disruptive, or in violation of their rules. Audax Group has no control over such decisions and is not liable for any action taken by a cruise line.
6. Content, Privacy, and Communications
6.1 Your Content.
You may be able to upload or submit photos, profile information, preferences, and other content (“User Content”). You retain ownership of your User Content, but by submitting it, you grant Audax Group a worldwide, non‑exclusive, royalty‑free, sublicensable license to use, reproduce, modify, adapt, and display such User Content solely for the purpose of operating, improving, and providing the Services.
6.2 Content Standards.
You are responsible for your User Content. You agree that your content will be accurate, lawful, and respectful, and will not infringe or violate the rights of any third party.
6.3 Privacy.
Our collection and use of personal information is described in our Privacy Policy (which will be published separately on the Site). By using the Site or Services, you consent to our collection and use of your information as described in that policy.
6.4 Communications.
By creating an account or providing your contact details, you consent to receiving transactional, service‑related, and promotional communications from us via email, SMS, in‑app messages, and/or messaging platforms such as WhatsApp. You may opt out of certain promotional communications at any time, though we may still need to send you important service or account notices.
7. Intellectual Property
7.1 Ownership.
The Site and Services, including all content, design, software, text, graphics, logos, and other materials (excluding your User Content), are owned by Audax Group or its licensors and are protected by copyright, trademark, and other intellectual property laws.
7.2 Limited License.
Subject to these Terms, we grant you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Site and Services for your personal, non‑commercial use.
7.3 Restrictions.
You may not copy, reproduce, distribute, publicly display, modify, create derivative works of, or otherwise exploit any portion of the Site or Services without our prior written consent, except as expressly permitted by these Terms or applicable law.
7.4 Trademarks.
“The Nautical Mixer,” “Audax Group,” and associated names, logos, and designs are trademarks of Audax Group LLC. All other trademarks are the property of their respective owners. You may not use any trademarks or logos of Audax Group without our prior written permission.
8. Disclaimers
8.1 No Professional Advice.
The Site and Services are provided for social and informational purposes only. We do not provide legal, financial, medical, counseling, or professional advice. You are solely responsible for your decisions and actions.
8.2 No Guarantee of Matches or Outcomes.
We provide a structured environment for introductions and social coordination, but we do not and cannot guarantee:
- That you will meet a specific person or number of people;
- That any connection will lead to a romantic or long‑term relationship; or
- That all matches will be compatible, available, or meet your expectations.
8.3 Your Safety and Conduct.
You are solely responsible for evaluating and choosing with whom you interact, where you meet, and how you communicate. You agree to exercise common sense and caution, and to follow any safety guidelines we may provide.
8.4 “As Is” and “As Available.”
The Site and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, or non‑infringement. We do not warrant that the Site or Services will be uninterrupted, error‑free, secure, or free from viruses or other harmful components.
9. Limitation of Liability
To the fullest extent permitted by law:
9.1 Exclusion of Certain Damages.
Audax Group, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or relating to your use of (or inability to use) the Site or Services.
9.2 Cap on Direct Damages.
In no event shall Audax Group’s total aggregate liability to you for all claims arising out of or relating to the Site, Services, or these Terms exceed the greater of: (a) the total amount you paid to us for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
9.3 Basis of the Bargain.
You acknowledge that the limitations of liability set forth in this Section are an essential basis of the bargain between you and Audax Group.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Audax Group, its affiliates, and their officers, directors, employees, and agents from and against any and all claims, demands, actions, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of or access to the Site or Services;
- Your User Content;
- Your interactions with other users or any third parties;
- Your violation of these Terms or any applicable law; or
- Your violation of any third‑party right, including any intellectual property or privacy right.
11. Governing Law; Dispute Resolution; Class Action Waiver
11.1 Governing Law.
These Terms and any dispute arising out of or relating to them, the Site, or the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
11.2 Informal Resolution.
Before initiating any formal legal action, you agree to first contact us at [email protected] and provide a brief written description of the dispute and your contact information, and allow us thirty (30) days to attempt to resolve the issue informally.
11.3 Binding Arbitration.
Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services (collectively, “Disputes”) that cannot be resolved informally shall be resolved exclusively by binding arbitration administered by a recognized arbitration provider under its applicable rules. The arbitration shall take place in Pinellas County, Florida (or the nearest convenient location), unless both parties agree otherwise.
11.4 Waiver of Jury Trial.
You and Audax Group waive any right to a jury trial in any Dispute.
11.5 Class Action Waiver.
All Disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You expressly waive any ability to maintain a class or representative action against Audax Group.
If this class action waiver is found unenforceable with respect to a particular claim, that claim (and only that claim) must be brought in a court of competent jurisdiction and not in arbitration.
12. Changes to the Site, Services, and Terms
12.1 Modifications to the Services.
We may modify, suspend, or discontinue any part of the Site or Services at any time, with or without notice, and without liability.
12.2 Changes to These Terms.
We may update these Terms from time to time. When we do, we will revise the “Effective Date” at the top of this page. Your continued use of the Site or Services following any update constitutes your acceptance of the revised Terms.
13. Termination
13.1 By You.
You may stop using the Site and Services at any time. You may also request account closure by contacting us at [email protected].
13.2 By Audax Group.
We may, in our sole discretion and without liability, suspend or terminate your access to the Site or Services at any time, with or without cause or notice, including if we believe you have violated these Terms or pose a risk to other users.
13.3 Effect of Termination.
Upon termination, your right to use the Site and Services will cease immediately. Sections that by their nature should survive termination (including, but not limited to, ownership provisions, disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive.
14. Miscellaneous
14.1 Entire Agreement.
These Terms, together with any additional policies or terms referenced herein (including our Privacy Policy), constitute the entire agreement between you and Audax Group regarding your use of the Site and Services.
14.2 Severability.
If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
14.3 No Waiver.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and Audax Group’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment.
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms freely and without restriction.
